MAYA GROOMER'S TOOL (Groomer's Tool - All Versions)
END USER LICENSE AGREEMENT
This End User License Agreement ("EULA" or "Agreement") explains the terms under which you may install, activate, access, and use Maya Groomer's Tool. Please read it carefully before using the plugin.
1. LICENSE AND ACCEPTANCE
This Agreement is between you ("you" or the "Licensee") and No Brain Studios, a business based in British Columbia, Canada ("No Brain Studios," "we," "our," or "us"). No Brain Studios develops and distributes Maya Groomer's Tool under the No Brain Tools brand.
Maya Groomer's Tool ("Groomer's Tool") is a plugin for Autodesk Maya. For this Agreement, Groomer's Tool includes its plugin files, scripts, compiled files, installers, documentation, updates, license files, activation and verification services, and related materials.
By downloading, installing, activating, accessing, or using Groomer's Tool, you confirm that you have read, understood, and agree to this Agreement. If you do not agree, you must not use Groomer's Tool and must remove it from your Devices.
Subject to payment of the applicable fees and compliance with this Agreement, No Brain Studios grants you a limited, non-exclusive, non-transferable, and non-sublicensable License to use Groomer's Tool during the applicable License term. Groomer's Tool is licensed, not sold, and all rights not expressly granted remain with No Brain Studios and its licensors.
If you have a separate written agreement signed by No Brain Studios, that agreement will control to the extent that it conflicts with this EULA.
2. DEFINITIONS
In this EULA:

"Authorized User" means a person permitted to use Groomer's Tool under the purchased License.

"Device" means a computer or workstation on which Groomer's Tool is installed or activated.

"Organization" means the studio, company, educational institution, or other entity that purchased a Studio License.

"Site" means the single business location covered by the purchased Studio License. Remote Authorized Users assigned to that Site may use the License if they remain within the purchased user limit.
3. USER AGREEMENT
3.1 Permitted Use
You may use Groomer's Tool for lawful personal, educational, freelance, professional, or commercial work, but only within the terms and limits of your purchased License.
No Brain Studios does not claim ownership of the Maya scenes, hairstyles, grooms, models, textures, renders, animations, or other original work you create through lawful use of Groomer's Tool.
3.2 Use Restrictions
You may use Maya Groomer’s Tool only in accordance with this EULA, the terms of your purchased License, and applicable law.
Single-User License
A Single-User License is assigned to one individual and may be installed on up to two Devices for use only by that individual.
The License may not be shared with or used by another person, including within a studio, company, team, or organization, whether simultaneously or at different times.
You may keep one additional copy solely for backup or recovery purposes. A backup copy does not permit use by another person or on an additional Device.
You may not assign, sell, sublicense, share, lend, rent, lease, redistribute, network, or otherwise transfer Groomer's Tool or your License without prior written permission from No Brain Studios.
Studio License
Studios, educational institutions, and other organizations must purchase an appropriate Studio License.
A Studio License, including Studio Lite, Tier 1, or Tier 2, may be used only by the number of Authorized Users permitted under the purchased License tier and within a single Site.
Each Studio License includes one shared team license key for the Organization and its Authorized Users. The key may not be shared with another organization, external team, or unauthorized user.
Remote Authorized Users assigned to the licensed Site may use the Studio License if they are included within the purchased user limit. A separate Studio License is required for each additional branch, Site, or separately operated team unless otherwise agreed in writing by No Brain Studios.
Any use beyond the permitted users, Devices, Sites, platforms, or other limits of the purchased License is a violation of this EULA and may result in suspension or termination of the License.
3.3 Copyright, Ownership, and Protection
Groomer's Tool, including its plugin files, code, scripts, documentation, graphics, and licensing technology, is owned by No Brain Studios or its licensors and is protected by copyright and other intellectual-property laws.
Your License permits you to use Groomer's Tool under this EULA but does not transfer ownership of the plugin or its intellectual property to you.
Except with the prior written permission of No Brain Studios, you may not copy, modify, adapt, translate, decrypt, reverse engineer, decompile, disassemble, redistribute, or create unauthorized products based on Maya Groomer’s Tool or any of its protected components.
You may not bypass, disable, remove, or interfere with its activation, licensing, verification, security, or usage-control systems.
These restrictions apply regardless of whether the intended use is personal, educational, academic, research-based, or non-commercial. Nothing in this EULA authorizes the possession, installation, or use of an unauthorized, cracked, modified, or pirated copy of Maya Groomer’s Tool.
Any limited right that applicable law does not permit the parties to exclude remains unaffected.
You may truthfully identify Groomer's Tool as a tool used in your work. However, you may not use the names, logos, or branding of No Brain Studios, No Brain Tools, or Maya Groomer's Tool in a way that falsely suggests sponsorship, endorsement, or affiliation.
All rights not expressly granted under this EULA are reserved by No Brain Studios and its licensors.
3.4 Limitation of Responsibility
To the maximum extent permitted by applicable law, No Brain Studios and its owners, employees, contractors, agents, and distributors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from this EULA or the use of, or inability to use, Groomer's Tool.
This includes loss of profits, business interruption, production delays, missed deadlines, loss or corruption of Maya scenes, project files, data, or other work, and the cost of recreating or replacing such work.
You are responsible for maintaining backups and testing Groomer's Tool before using it in production.
To the maximum extent permitted by applicable law, No Brain Studios’ total combined liability for all claims relating to Maya Groomer’s Tool, the License, or this EULA will not exceed the amount you actually paid for the specific License term during which the event giving rise to the claim occurred.
Nothing in this section excludes or limits liability that cannot legally be excluded or limited.
Where Groomer's Tool is used for business or Studio purposes, you agree to indemnify and hold No Brain Studios harmless from third-party claims resulting from your unlawful use of Groomer's Tool, your breach of this EULA, or your unauthorized sharing or distribution of the plugin.
Nothing in this section excludes or limits liability that cannot legally be excluded or limited.
3.5 Disclaimer of Warranty
Groomer's Tool is provided "as is" and "as available."
To the maximum extent permitted by applicable law, No Brain Studios makes no warranties, express or implied, including warranties of merchantable quality, fitness for a particular purpose, compatibility, reliability, or non-infringement.
No Brain Studios does not guarantee that Groomer's Tool will operate without interruption or errors, work with every system or Maya version, or meet every user's requirements.
Nothing in this EULA excludes any warranty or right that cannot legally be excluded.
3.6 Termination
No Brain Studios may suspend or terminate your License if you materially breach this EULA, use an unauthorized License, share or distribute Groomer's Tool outside your License terms, fail to pay applicable charges, or interfere with its activation, verification, or security systems.
When your License expires or is terminated, you must stop using Groomer's Tool.
Any payment obligations and any terms intended to continue after termination will remain in effect.
4. ACTIVATION AND LICENSE VERIFICATION
Groomer's Tool require online activation and periodic License verification. Certain License types may continue to operate offline for a limited period according to the terms of the purchased License.
Access may be suspended if the License expires, payment fails, the permitted Device or user limits are exceeded, required License information is invalid or altered, or the License cannot be verified within the permitted period.
You may not bypass, disable, or interfere with the activation or verification process.

7. GOVERNING LAW AND JURISDICTION
This EULA is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia.
To the maximum extent permitted by applicable law, disputes relating to this EULA or Groomer's Tool will be brought before the courts located in British Columbia, Canada.
Nothing in this section limits any mandatory consumer right or legal protection that cannot be waived under applicable law.
8. CHANGES TO THIS EULA
No Brain Studios may update this EULA to reflect changes to the plugin, licensing system, business practices, or applicable law. The latest version will be posted on our Website with an updated revision date.
Material changes will apply prospectively, including to new purchases, renewals, updates, or continued use after reasonable notice, as permitted by applicable law.
9. GENERAL TERMS
If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions will continue in effect.
This EULA, the terms of your purchased License, the Subscription & Refund Policy, and the Privacy Policy form the complete agreement between you and No Brain Studios concerning Groomer's Tool, unless a separate written agreement signed by No Brain Studios applies.
