MAYA GROOMER'S TOOL
END USER LICENSE AGREEMENT
This End User License Agreement (“EULA”) is between you and No Brain Studios, the developer of Maya Groomer’s Tool under the No Brain Tools brand.
By downloading, installing, activating, or using Groomer’s Tool, you agree to this EULA. If you do not agree, do not install or use the software.
Groomer’s Tool is licensed, not sold.
1. License Grant
Subject to payment of the applicable fees and compliance with this EULA, No Brain Studios grants you a limited, non-exclusive, non-transferable license to use Groomer’s Tool during your active License term.
You may use Groomer’s Tool for lawful personal, educational, freelance, professional, and commercial projects.
You own the original work you create using Groomer’s Tool, including your Maya scenes, hairstyles, grooms, models, renders, animations, and project files.
2. License Types
Single User License
A Single User License is assigned to one individual and may be installed on up to two Devices.
It may be purchased by an independent artist, freelancer, creator, or sole proprietor, provided that Groomer’s Tool is used only by that individual.
It may not be shared with or used by another person, including within a studio, company, school, team, or organization.
Studio License Lite
Studio License Lite may be used by up to four users within one organization and at one licensed Site.
Studio License Lite supports Windows only and shared licensing. Linux files and Studio Refresher are not included.
Studio License Tier 1
Studio License Tier 1 may be used by up to nine users within one organization and at one licensed Site.
It supports Windows and Linux, shared licensing, and includes Studio Refresher.
Studio License Tier 2
Studio License Tier 2 is intended for organizations with ten or more users at one licensed Site.
It supports Windows and Linux, shared licensing, and includes Studio Refresher.
Studio License keys may not be shared with another organization, external team, client, affiliate, or unauthorized user.
A separate Studio License is required for each additional Site unless otherwise agreed by No Brain Studios in writing.
3. Restrictions
You may not:

share, sell, sublicense, rent, lend, or transfer your License;

redistribute, upload, publish, or provide Groomer’s Tool to another person or organization;

use the License beyond its permitted users, Devices, Sites, or supported operating systems;

reverse engineer, decompile, disassemble, decrypt, or extract protected components of Groomer’s Tool;

copy or reuse Groomer’s Tool code, scripts, interfaces, algorithms, documentation, or licensing technology in another product;
-
bypass, disable, remove, or interfere with activation, License verification, security, or usage controls; or
-
possess, install, distribute, or use an unauthorized, cracked, pirated, or improperly modified copy of Groomer’s Tool.
Nothing in this section restricts a right that applicable law does not permit the parties to exclude.
4. Ownership
Groomer’s Tool and its components remain the property of No Brain Studios or its licensors.
This includes its plugin files, scripts, source and compiled code, algorithms, workflows, interfaces, documentation, graphics, branding, and licensing systems.
This EULA gives you permission to use Groomer’s Tool. It does not transfer ownership of Groomer’s Tool or its intellectual property to you.
No Brain Studios claims no ownership over the original work you create through lawful use of Groomer’s Tool.
5. Activation, Verification, and Updates
Groomer’s Tool requires online activation and periodic License verification.
Depending on your License, Groomer’s Tool may continue working offline for a limited period after successful verification. Studio License Tier 1 and Tier 2 users may use Studio Refresher where available.
Access may be suspended if a License:

expires or is cancelled;

has an unsuccessful payment;
-
exceeds its permitted users, Devices, or Sites;

cannot be verified within the permitted period; or
-
has been altered, shared, or used outside its License terms.
No Brain Studios may provide updates, bug fixes, compatibility changes, and new features during an active License term.
A License does not guarantee continued support for every version of Autodesk Maya, operating system, computer configuration, third-party plugin, or production pipeline.
6. Subscriptions, Refunds, and Privacy
Payments, renewals, cancellations, and refunds are governed by the Subscription & Refund Policy published on the No Brain Tools website.
Information collected for purchases, activation, License verification, seat management, and technical support is handled according to the Privacy Policy published on the No Brain Tools website.
Normal License verification does not give No Brain Studios access to the contents of your Maya scenes or project files.
7. Warranty and Liability
Groomer’s Tool is provided “as is” and “as available.”
To the maximum extent permitted by applicable law, No Brain Studios makes no guarantee that Groomer’s Tool will operate without interruption or errors, work with every production environment, or meet every project requirement.
You are responsible for testing Groomer’s Tool before using it in production and for maintaining appropriate backups of your scenes, project files, and other work.
To the maximum extent permitted by applicable law, No Brain Studios will not be liable for indirect, incidental, special, or consequential losses, including lost profits, production delays, missed deadlines, or loss or corruption of scenes, files, or data.
The total liability of No Brain Studios for claims relating to Groomer’s Tool will not exceed the amount you paid for the applicable License term.
Nothing in this EULA excludes or limits a legal right or liability that cannot lawfully be excluded or limited.
8. Termination
No Brain Studios may suspend or terminate a License for non-payment, material breach of this EULA, unauthorized sharing or distribution, use of an invalid License, or interference with the activation or verification system.
Where reasonably appropriate, No Brain Studios may provide an opportunity to correct an unintentional License issue before termination.
When a License expires or is terminated, you must stop using Groomer’s Tool and remove any unauthorized copies.
Sections concerning ownership, restrictions, warranty, liability, and governing law continue after termination.
9. Governing Law and General Terms
This EULA is governed by the laws of British Columbia and the federal laws of Canada applicable in British Columbia.
To the extent permitted by applicable law, disputes relating to this EULA or Groomer’s Tool will be handled by the courts of British Columbia, Canada.
Nothing in this section removes any mandatory consumer or jurisdictional rights that cannot legally be waived.
If any part of this EULA is found unenforceable, the remaining terms will continue in effect.
No Brain Studios may update this EULA to reflect changes to Groomer’s Tool, its licensing system, business practices, or legal requirements. The current version will be published on the No Brain Tools website with its effective date.
This EULA, your purchased License terms, the Privacy Policy, and the Subscription & Refund Policy form the complete agreement concerning your use of Groomer’s Tool, unless a separate written agreement signed by No Brain Studios applies.
